1. Acceptance of Terms

These Terms form a legally binding agreement between you ("User") and Overseaauto ("we", "us", or "our"). By creating an account or using any part of the Platform, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms.

2. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Post false, misleading, or fraudulent listings.
• Harass, impersonate, or harm other users.
• Attempt to gain unauthorised access to any part of the Platform or its systems.
• Use automated scripts, bots, or scrapers without our written consent.
• Violate any applicable local, national, or international law or regulation.

3. User Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Listings Policy

Only approved dealer accounts may post vehicle listings. All listings must:

• Accurately describe the vehicle, its condition, and its price.
• Include original photos of the actual vehicle being advertised.
• Comply with all applicable consumer protection laws in your jurisdiction.
• Not advertise stolen, salvaged without disclosure, or otherwise prohibited vehicles.

We reserve the right to remove any listing that we determine, at our sole discretion, violates this policy.

5. Prohibited Content

You may not submit content that is illegal, obscene, defamatory, discriminatory, or infringes on the intellectual property rights of any third party. We reserve the right to remove such content and to terminate the accounts of users who repeatedly violate this policy.

6. Intellectual Property

All content, trademarks, logos, and intellectual property on the Platform belong to Overseaauto or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for personal or business purposes in accordance with these Terms. You may not reproduce, distribute, or create derivative works without our express consent.

7. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses. We are a marketplace and are not a party to any transaction between buyers and dealers; we make no representations about the accuracy of listings.

8. Limitation of Liability

To the fullest extent permitted by law, Overseaauto shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or from any transactions conducted through it. Our total liability to you under these Terms shall not exceed the amount you have paid us in the twelve months preceding the claim.

9. Termination

We may suspend or terminate your access to the Platform at any time and for any reason, including but not limited to a breach of these Terms, without prior notice or liability. Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination (including limitation of liability and dispute resolution) shall continue to apply.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Overseaauto is registered, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the competent courts of that jurisdiction.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the effective date above. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the revised Terms.
